Terms of Service / End User License Agreement (EULA)

These Terms of Service / End User License Agreement (“Agreement”) govern your use of the GridFall AI website, your purchase of GridFall AI products, and your use of the GridFall AI software and related materials.

This Agreement is entered into between you and GridFall AI LLC (“GridFall AI,” “GridFall AI LLC,” “we,” “us,” or “our”).

By accessing this website, placing an order, or using any GridFall AI product, you agree to be bound by this Agreement. If you do not agree, do not use the website or the product.

1. Who We Are

GridFall AI LLC (“GridFall AI,” “GridFall AI LLC,” “we,” “us,” or “our”) provides offline AI software products and related accessories, including USB-based and other packaged product variants, through our website and store.

2. Scope of This Agreement

This Agreement applies to:

  • your use of the GridFall AI website
  • your purchase of products from our store
  • your use of the GridFall AI software
  • any documentation, guides, packaging materials, and related content we provide

This Agreement is a binding legal agreement between you and GridFall AI LLC.

3. Eligibility

You must be at least the age of majority in your jurisdiction, or otherwise have legal authority to enter into this Agreement, in order to purchase or use GridFall AI products.

By using the website or product, you represent that you meet these requirements.

4. Product Description and Use Expectations

GridFall AI is an offline artificial intelligence software product designed to run locally on compatible user hardware.

You understand and agree that:

  • GridFall AI is provided for general informational use
  • outputs may be inaccurate, incomplete, outdated, or unsuitable for your needs
  • the software is not a substitute for professional advice or independent verification
  • the software is not intended for emergency, safety-critical, or life-critical use

Your use of the product is also subject to our Safety Disclaimer and Privacy Policy.

5. Website and Store Use

You agree to use our website only for lawful purposes and in a manner that does not:

  • violate any applicable law or regulation
  • infringe the rights of others
  • interfere with the operation or security of the site
  • attempt unauthorized access to systems, data, or accounts
  • transmit malicious code, spam, or harmful content
  • misuse the site, checkout, or support channels

We reserve the right to suspend or restrict access to the site for misuse, abuse, fraud, or unlawful activity.

6. Orders and Acceptance

All orders placed through our website are subject to acceptance and availability.

We reserve the right to refuse, cancel, or limit any order for reasons including:

  • suspected fraud or abuse
  • pricing or listing errors
  • product unavailability
  • suspected resale abuse
  • inaccurate billing or shipping information
  • violations of this Agreement

If we cancel an order after payment has been received, we will issue a refund in accordance with applicable law and our internal processes.

7. Pricing and Payment

Prices are listed on our website and may change at any time without notice, except that the price charged for an order will generally be the price shown at the time of purchase.

You agree to provide current, complete, and accurate billing and payment information.

Payments are processed by third-party providers through our ecommerce platform. Refunds are generally returned to the original payment method used at checkout.

8. Shipping, Returns, and Refunds

Shipping, returns, and refunds are governed by our separate Shipping Policy and Refund / Returns Policy, which are incorporated into this Agreement by reference.

By purchasing from us, you agree to those policies.

9. Limited Software License

Subject to this Agreement, GridFall AI LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the software provided with your purchased product for your own personal or internal lawful use.

This license does not transfer ownership of the software to you.

You may not, except where prohibited by law or expressly permitted by us in writing:

  • copy, reproduce, or redistribute the software except as needed for ordinary use
  • sell, lease, sublicense, or commercially exploit the software on a standalone basis
  • reverse engineer, decompile, disassemble, or attempt to derive source code
  • modify, adapt, translate, or create derivative works based on the software
  • remove or alter proprietary notices, branding, or technical protections
  • use the software in violation of law or this Agreement

10. License Restrictions and Product Binding

If GridFall AI products include activation, licensing, device binding, or media-based authentication features, you agree not to bypass, tamper with, disable, or interfere with those mechanisms.

Any attempt to defeat product licensing, copy protection, hardware or media checks, or activation controls may result in termination of your license and denial of support or warranty coverage.

11. Ownership and Intellectual Property

All content, software, branding, logos, graphics, text, product designs, documentation, and materials made available by GridFall AI LLC are owned by or licensed to GridFall AI LLC and are protected by applicable intellectual property laws.

Except for the limited license granted above, no rights are granted to you.

12. Open-Source and Third-Party Components

GridFall AI products may include or rely on third-party software and open-source components. Those components may be subject to their own separate license terms.

Where required, applicable third-party notices and license information will be provided separately. Your rights in those third-party components are governed by their respective license terms.

13. User Responsibility

You are solely responsible for:

  • verifying any output generated by the software
  • determining whether the product is appropriate for your intended use
  • maintaining your own backups, systems, and data security
  • using the product lawfully and safely
  • ensuring compatibility with your own hardware and environment

You assume all risk arising from your use or misuse of the product.

14. No Professional Advice; No Emergency Use

GridFall AI does not provide medical, legal, financial, engineering, emergency, tactical, or other professional advice.

The product must not be relied upon as a sole source of truth in any emergency, safety-critical, or high-risk situation.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, SOFTWARE, PRODUCTS, AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

THIS INCLUDES, WITHOUT LIMITATION, IMPLIED WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • TITLE
  • NON-INFRINGEMENT
  • ACCURACY
  • RELIABILITY
  • AVAILABILITY
  • SECURITY
  • COMPATIBILITY

We do not guarantee that the software or website will be uninterrupted, error-free, current, or free from inaccuracies or defects.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIDFALL AI LLC AND ITS OWNERS, OFFICERS, AFFILIATES, SUPPLIERS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO:

  • use of or inability to use the website or software
  • reliance on software output
  • product malfunction or incompatibility
  • delays, interruptions, or security issues
  • errors or omissions in content or responses
  • unauthorized access or misuse
  • shipping or order issues beyond our direct control

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PRODUCT, WEBSITE, OR THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

17. Indemnification

You agree to defend, indemnify, and hold harmless GridFall AI LLC and its owners, affiliates, suppliers, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

  • your misuse of the website or product
  • your violation of this Agreement
  • your violation of law
  • your infringement of any third-party rights
  • your actions based on software output

18. Termination

We may suspend or terminate your access to the website, support services, or software license at any time if you violate this Agreement or misuse the product or services.

Upon termination, the license granted to you will end immediately, and you must stop using the software to the extent required by law and this Agreement.

Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, indemnification, and dispute terms.

19. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

20. Disputes

Any dispute arising out of or relating to this Agreement, the website, or any GridFall AI product shall be resolved in the state or federal courts located in Massachusetts, and you consent to the personal jurisdiction and venue of those courts, unless applicable law requires otherwise.

21. Changes to This Agreement

We may update this Agreement from time to time by posting a revised version on our website. The updated version becomes effective as of the Effective Date listed above.

Your continued use of the website or product after updated terms are posted constitutes acceptance of the revised Agreement.

22. Severability

If any provision of this Agreement is held unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

23. Entire Agreement

This Agreement, together with our Privacy Policy, Shipping Policy, Refund / Returns Policy, Safety Disclaimer, and any other policies expressly incorporated by reference, constitutes the entire agreement between you and GridFall AI LLC regarding the website, products, and software.
